Investors and Analysts Should Ask: Is a Board of Directors’ Main Objective to Enrich Insiders or Does it Work for the Benefit of Shareholders

There are many cases when it’s clear that board of directors is asleep at the wheel or worse, only exists to enrich insiders. One such example is WiLan’s board which has consistently failed shareholders in many ways. It does not seem to do its job in holding management (let alone itself) accountable for continuing share price destruction. WiLan’s board continues to reward underperforming management (and itself) with stock grants and unreasonable compensation packages. They then dispose these options and grants which further depress the stock price.
Does this Board and others like it exist only to enrich insiders?
